Ühing teatab ühinemisest. Ühinemisel osalesid AS Oma Ehitaja (registrikood 11146149) ja OÜ Hyperficarius (registrikood: 11731540), asukoht: Pärnu mnt 105, Tallinn 11312. AS Oma Ehitaja on ühendav ühing ja OÜ Hyperficarius on ühendatav ühing. Ühinemine kanti Tartu Maakohtu registriosakonna äriregistrisse 07.11.2023. Tegemist on kontsernisisese ühinemisega ning ühendav ühing oli ühendatava ühingu ainuosanik. Ühinemise tulemusel ühendatav ühing lõppes ning kogu tema vara ja majandustegevus läks seaduse alusel üle ühendavale ühingule ning ühendav ühing on seeläbi ühendatava ühingu õigusjärglane (ÄS § 391 lõiked 1, 3 ja 4, § 403 lõiked 1, 2 ja 4).

Äriühingute võlausaldajatel palume esitada oma nõuded tagatise saamiseks kuue kuu jooksul käesoleva teate avaldamisest (ÄS § 399 lg 1). Võlausaldajatel on see võimalus üksnes ÄS § 399 lõikes 2 sätestatud tingimustel. Kirjalikus vormis põhistatud avalduse võib esitada ühendava ühingu aadressil Pärnu mnt 105, Tallinn 11312.

Ühinemislepingu sõlmimise kuupäev on 21.04.2023. AS Oma Ehitaja on ühendav ühing ja OÜ Hyperficarius on ühendatav ühing. Seejuures ühendav ühing on ühendatava ühingu ainuosanik. Ühinemise tulemusel ühendatav ühing lõppeb ning tema vara ja majandustegevus läheb seaduse alusel üle ühendavale ühingule ning ühendav ühing on seeläbi ühendatava ühingu õigusjärglane.
