Aktsiaselts MERKO EHITUS (registrikood 11520257) avaldab teadaande äriseadustiku (ÄS) § 358 lõike 2 alusel.

Aktsiaselts teatab aktsiakapitali vähendamise otsusest. AS Merko Ehitus (registrikood 11520257, asukoht Järvevana tee 9G, Tallinn 11314) juhatus teavitab käesolevaga, et 29.04.2015. a toimunud AS-i Merko Ehitus aktsionäride korraline üldkoosolek otsustas vähendada AS-i Merko Ehitus aktsiakapitali.

Arvestades Baltikumi ehitusturu väljavaateid lähiaastatel ning sellega seotud kapitali vajadust Merko Ehituse kontserni jaoks on aktsiakapitali vähendamise põhjuseks kontserni kapitalistruktuuri parendamine ning omakapitali tootluse toetamine. ASil Merko Ehitus puudub vajadus omada aktsiakapitali olemasolevas suuruses ja seadusest tulenevad aktsiakapitalile esitatavad nõuded on täidetud ka vähendatud aktsiakapitali suuruse korral.

Tulenevalt eeltoodust otsustas aktsionäride üldkoosolek vähendada aktsiaseltsi aktsiakapitali 4 071 000 euro võrra, seniselt 12 000 000 eurolt 7 929 000 euroni. Aktsiakapitali vähendatakse aktsiate arvestusliku väärtuse vähendamisega 0,23 euro võrra, seniselt 0,677966 eurolt 0,447966 euroni, aktsiate koguarv jääb samaks so 17 700 000 aktsiat. Peale aktsiakapitali vähendamise kandmist äriregistrisse on aktsiaseltsi aktsiakapitali suuruseks 7 929 000 eurot, mis on kooskõlas ettevõtte põhikirjaga ning mis koosneb 17 700 000 aktsiast, neist igaüks arvestusliku väärtusega 0,447966 eurot.

Võlausaldajatel palume esitada oma nõuded aktsiaseltsile kahe kuu jooksul käesoleva teate avaldamisest (ÄS § 358 lg 2). Juhindudes äriseadustiku §-st 358 palub AS-i Merko Ehitus juhatus esitada AS-i Merko Ehitus võlausaldajatel oma nõuded seoses aktsiakapitali vähendamisega 2 (kahe) kuu jooksul alates käesoleva teate avaldamisest kirjalikult AS-i Merko Ehitus aadressil Järvevana tee 9G, Tallinn 11314.
