Mathemame OÜ provides education services via an online platform that connects private tutors and learners. Revenues arise from platform facilitation fees and inflows from payment service providers. The main cost drivers are lecturer (subcontractor) fees, IT services, marketing and general administrative expenses. The Company prepares its financial statements under the Estonian Financial Reporting Standard for small undertakings and applies the going-concern basis.

2) Highlights of 2024 2024 was the Company’s first full operating year with meaningful sales. Service revenue reached €1,181,165; other operating income totalled €35,215. Operating profit amounted to €60,582, and net profit for the year was €67,832 (2023: loss €62).

At year-end, cash and cash equivalents were €375,337 (2023: €29,988). Total liabilities were €307,567, including €268,517 trade payables and €39,050 short-term liabilities. Equity stood at €67,770.

Key ratios (management calculations based on the financial statements): operating margin ~5.1%, net margin ~5.7%, purchased services ~89.9% of revenue.

3) Financial position and liquidity

The Company closed the year with positive equity of €67,770 and a solid cash position of €375,337, which supports continued operations and supplier settlements. Trade payables of €268,517 reflect the scale-up of activity during the year. The going-concern basis remains appropriate.

4) Related-party transactions

Balances with the management/individual owner and entities under their control totalled €50 under liabilities at 31.12.2024. In the prior period, loans received from legal related-party enteties amounted to €39,000 (€9,000 recieved in 2024), with contractual maturity 31.12.2025.

5) Risks and uncertainties

Principal risks relate to marketplace dynamics (supply of qualified tutors and demand from learners), operational continuity of the platform and third-party payment services, and liquidity management aligned with growth. The Company monitors cash flows and supplier terms and maintains lean overheads. No financial instruments beyond ordinary trade and operating balances are in use.

6) Post-balance-sheet events

Up to the date of approval of this report (29 September 2025), management is not aware of any events requiring adjustment or separate disclosure. The annual report was approved and electronically signed by the Management Board member Vitalii Shkil on that date.

7) Outlook

The company expects to continue developing the tutor–learner marketplace, improving product quality and operational efficiency, and maintaining prudent cost control to support profitable growth.
