Net assets and equity position

The company's equity as at 31.12.2025 amounts to 0 EUR (issued share capital 2,500 EUR offset by unpaid share capital of -2,500 EUR).

Equity is therefore less than half of the share capital.

Pursuant to the Commercial Code §176(1) and Accounting Act §24(10), the management board notes the following: Umesh Space OÜ was founded without making contributions to share capital. The share capital remains unpaid in accordance with the articles of association. Since equity has not fallen below zero, the situation is permissible under applicable law for companies founded without contributions.

The company is operational and generating revenue (2025 revenue: 1,280 EUR). No immediate risk to the continuation of operations exists. The management board intends to maintain positive equity and does not foresee equity falling below zero in the foreseeable future.
