      Enamik ühingusse investeeritavast rahast on poolt omanikulaenuna ja osanik T-Model OÜ investeeringud on samal ajal tootnud kahjumit ja ühingule tekkinud negatiivne omakapital ehk netovara ja ei vasta Äriseadustiku nõuetele.

      Kuna osanik T-Model OÜ on andnud omanikulaenu, on võimalik vabatahtliku reservi moodustamise abil netovara nõue uuesti täita vajalikul määral.

      Tegevusplaani kohaselt on netovara äriseadustikuga vastavusse viimiseks allkirjastatud osanike otsus põhikirja muutmiseks ja ja omakapitali suurendamise otsuse.

      Äriregistris on läbi viidud vajalik muutus T-Model Järelevalve OÜ põhikirjas.

      Põhikirjas on reguleeritud täiendava omakapitalireservi loomine ja selle kasutamine.

      Edasi saab nimetatud kanded viia läbi nii raamatupidamises kui ka deklareerida TSD vormil lisa 7 sektsioonis „Aktsionäride/osanike sissemaksed“.
