The main activity of 3M Eesti OÜ (hereinafter the Company) is the import and resale of 3M Company group products in the territory of the Republic of Estonia. The main product groups imported by the Company include: 1) personal protective equipment 2) industrial tapes, adhesives and abrasives 3) car care products 4) dental materials 5) medical products 6) advertising and light-reflecting films 7) office supplies 8) electronics and electrical products
The markets in which the Company operates are diversified and operate with different seasonal cycles.
In 2022, the Company continued its normal economic activity. The activity of 3M Eesti OÜ was mainly aimed at developing the marketing and sales activities of 3M products and improving internal work processes. The Company did not participate in research or development projects. During the financial year, no shares or parts were acquired or pledged as collateral.
Changes in Estonian macroeconomic indicators, including consumer prices, industrial production, the labor market, and average wages, did not have a significant impact on the Company's results. During the year, 3M Eesti adjusted its product prices to Estonian resellers in accordance with 3M Group's pricing policy and due to changes in the production and transportation costs of 3M products on the global market.
The activity of 3M Eesti OÜ is not significantly cyclical on average and does not involve significant environmental and social impacts. Due to the strong financial position of the 3M Group, the Company does not foresee significant risks to its business, solvency, and liquidity. The Company also does not consider the impact of currency and stock exchange rates and interest rates to be significant.
The Company implemented crisis management processes throughout the pandemic. Although the period of challenges and restrictions of the pandemic was left behind during the reporting year, it had some indirect impact on the supply chain and sales development. However, due to the wide range of products, the pandemic did not have a significant negative impact on 3M's business and the Company maintained its strong financial position during this period.
The turnover of 3M Eesti OÜ in 2022 was 11,386,548 euros, averaging 948,879 euros per month. The turnover for the 2021 financial year was 11,379,229 euros, averaging 948,269 euros per month.
In 2021, the Company paid dividends to its sole shareholder, Suomen 3M OY, in the net amount of 7,936,029 euros, from which income tax of 1,949,124 euros was calculated and paid to the Estonian state. No dividend payments were made in 2022.
The board of 3M Eesti OÜ consists of three members, the Company does not have a council. The remuneration of the members of the Company's board in 2022 was 99,840 euros and the total salary of the employees was 473,725 euros (in 2021, respectively, 122,667 euros and 638,316 euros).
In 2022, 3M Eesti OÜ invested in IT equipment, which in total does not have a significant impact on the Company's results.
In 2023, the main focus of the Company's activities will continue to be on the sales growth of 3M products and the development of marketing activities that add value to sales.
In 2023, the Company expects a moderate growth trend from commodity markets, which may be affected by the availability of raw materials needed for the production of 3M products and the prices of raw materials and transportation on the global market.
The world economy has been affected by the military conflict between Russia and Ukraine. The US and other governments, including Estonia, have imposed export controls on certain products and financial and economic sanctions on certain Russian industrial sectors and parties. The 3M Group suspended its subsidiaries' operations in Russia in March 2022 and committed to exiting the related net assets through the planned sale of subsidiaries in September 2022.
The 3M Group also has other areas of operation that source certain raw materials from Russian suppliers. Due to the military conflict, the Group has experienced supply disruptions related to this activity. These geopolitical tensions may cause, among other things, cyber attacks, additional supply chain disruptions affecting customers, higher energy costs, lower consumer demand, and changes in exchange rates and financial markets, each of which may negatively affect the Company's business and supply chain.
Climate change, as well as related environmental requirements and social rules, may have a negative impact on the Company or its customers and suppliers in terms of the availability and cost of natural resources, energy sources and energy supply, and product demand
