Multimodalhd Estonia OÜ (hereinafter Multimodalhd, the association or the company) is registered in the commercial register on 29.12.2016 with the registration code 14176613.

Activity

From 2019 to March 2022, the company did not make any active transactions. In April 2022, Multimodalhd started operations as a supplier of petroleum products to Ukraine. Our main business was the purchase of diesel fuel, gasoline and autogas (LPG) from Central-

European countries and its sale at the EU border. A small part of the turnover was related to the resale of sawn timber in Estonia. As of 31.12.2022, the company employed 8 people, including 2 board members. The company's registered office is in Tallinn, Liivalaia tn 13.

Due to increased demand for fuel in Ukraine and due to Russia's military activity in the eastern part of the country, the company's turnover increased significantly in 2022. For this, Multimodalhd concluded several long-term and spot-type contracts for the purchase of light petroleum products in Poland, Romania, Bulgaria, Lithuania, Greece, Hungary and other countries. The sole buyer of gasoline, diesel fuel and autogas (LPG) is the Ukrainian private company Ukrpaletsistem (hereinafter UPS), which provided the company

Multimodalhd service for the transport of petroleum products with its own transport means.

The company bought goods directly from European fuel producers and through intermediaries from warehouses in Central and Southern Europe.

From June 2022, fuel is delivered by sea tankers to ports in Poland and Romania, from where the company sends goods to Ukraine by rail and the buyer's fuel trucks. From April to December 2022, Multimodalhd Estonia

OÜ sent over 375,300 tons of light petroleum products to Ukraine.

Goods and services

In 2022, the company cooperated with well-known fuel suppliers such as Motor Oil (Hellas) Corinth Refineries (Greece),

Rompetrol Rafinare, Vitaro Energy and Gaspeco L&D (Romania), Arcturus-Bunker and Unimot (Poland), Euronova Energies (Switzerland),

Oilead (Lithuania), Hamkor Alliance Group (Hungary) and others.

Logistics services were provided by the state railway company CFR Marfa (Romania) and large private capital-based transport companies, and oil terminals Oil Terminal (Constanta, Romania) and Oktan Energy (Szczecin, Poland). Cooperation with most suppliers continued in 2023.

Taking into account existing restrictions and sanctions, Multimodalhd Estonia OÜ categorically refuses and will continue to refuse to buy products related to Russia and Belarus. No product exported to Ukraine originates from Russia or Belarus and this is confirmed by the relevant certificates for each batch of goods.

From April to December 2022, Multimodalhd sent 375,328 tons of light petroleum products to Ukraine, including - gasoline A95, A100 (EN-228) in the amount of 61,417 tons, - diesel fuel ULSD ppm 10 (EN-950) in the amount of 301,696 tons, - liquefied carbon gas (LPG) in the amount of 12,215 tons.

The total sales revenue for 2022 was 557,657 thousand euros. The sales revenue of petroleum products amounted to 557,611 thousand euros (or 99.99% of the company's sales revenue in 2022). In Estonia, the company sold sawn timber and office equipment for 43 thousand euros, and also provided services for 2 thousand euros.

The cost of purchased goods was 457,204 thousand euros. The cost of purchased logistics services was 11,283 thousand euros, including loading and storage in warehouses 2,248 thousand euros, freight transport and customs documentation 9,035 thousand euros. Thus, the total cost of goods sold was 468,487 thousand euros and the profit from sales amounted to 89,170 thousand euros (profitability 16.0%).

It is expected that part of the net profit for the reporting period will be used to pay dividends and the accompanying income tax to the sole owner, the remaining profit will remain at the disposal of the association for making investments. The decision on profit distribution will be made by the owner after the approval of this annual report.

Owners and management In December 2022, the previous owner Tatjana Selivjorstova sold her stake in the association to Ukrainian citizen Volodymyr Petrenko, who became the sole owner and actual beneficiary of 100% of the shares of Multimodalhd Estonia OÜ.

The board of the association consists of two members (Tatjana Selivjorstova and Dmitri Berezovski). Each board member has the authority to represent the association individually in all transactions. In 2022, board members were paid a total of 62 thousand euros.

Investments

From the autumn of 2022, the company started investing in the acquisition of foreign fixed assets and business activities, the purpose of which is to develop fuel sales and logistics activities. During the reporting period, Multimodalhd Estonia OÜ acquired just under 50% of the shares of the large Polish company Baltchem S.A.; this company owns several sea terminals on the Baltic Sea coast.

At the end of 2022, a purchase transaction was initiated, during which 100% of the shares of the Polish company Railtrans Logistics Sp. z o.o. (hereinafter

RTL) will be acquired. The purpose of the business combination is to acquire an operating license and contracts for the provision of railway transport services in Poland. The controlling interest in RTL was acquired in January 2023.
